Update on the Proposed Reorganization of Sun Entertainment Holding Corp.
Holding Corporation (the "Company") (TSX: SED.V) (OTC: SETHF) wishes to
furnish an update on the proposed reorganization of the Company to change
its corporate jurisdiction from the Province of British Columbia to the
State of Nevada, as disclosed in the Company's news release dated December
3, 2007.
On May 19, 2006, the Company received stockholder approval to
reorganize the Company, including approval to effect a continuance to any
country jurisdiction in the United States and to delist from the TSX Venture
Exchange. As the Company's assets, shareholder base, and majority of its
directors and officers are based in the United States, management and the
board of the directors determined that it is in the best interests of the
Company to effect the proposed reorganization.
Prior to effecting the shake-up, the Company intended to file a
registration argument in the United States with the United States
Securities and Exchange Commission (the "SEC") to register its common
shares under the Securities Exchange Act of 1934 (the "Exchange Act").
Following such registration, the Company intended to quote its common
shares on the OTC Bulletin Board and delist from the TSX Venture Exchange.
Subsequent to receiving shareowner approval, the Company has decided
to postpone the reorganization in order to determine the costs associated
with registering a class of shares under the Exchange Act, particularly the
compliance costs to the Company under the Sarbanes - Oxley Act and the
demand to obtain an auditor attestation write up on the internal
controls of the Company. The SEC has postponed the auditor attestation
report prerequisite for Smaller Reporting Companies such as the Company
until it files an yearbook report ending on or after December 15, 2009. Due
to the high obligingness costs with the auditor attestation account, and due
to the uncertainty of whether the SEC will require the report in the
future, the Company has determined to set back the reorganization until a
definitive compliance date is provided. The Company intends to stay on to
search shareholder approval of the reorganization at future shareowner
meetings so that it may cursorily proceed with the shake-up in the
event the SEC eliminates the auditor attestation write up.

Former Spice Girl Melanie Brown is getting her revenge on ex-partner Eddie Murphy � by penning a song about him for her upcoming album, femalefirst.co.uk reports.
The singer was dumped by the actor on TV while she was pregnant with his child last year. But Brown has been hitting the studio to get her own back. She tells Britain�s New! magazine, �The working title is Beverly Hills C**k, because that�s what he is.

Movie Reviews Kung Fu Panda
Kung Fu Panda
is not getting karate-chopped by critics, who are mostly marshaling their
linguistic arts to express their indifference toward the movie. "Kung Fu
Panda is not one of the great recent animated films," writes Roger Ebert in
the Chicago-Sun Times. "But it's elegantly drawn, the action sequences
are packed with energy, and it's short enough that older viewers will be
forgiving." It's another animated feature whose message to kids is "Believe!"
Comments Manohla Dargis in the New York Times: "The screenplay by
Jonathan Aibel and Glenn Berger is ho-hum without being insulting, a grab bag
of gentle jokes, sage lectures, helpful lessons and kicky fights." "To make
something special, you just have to believe it's special," the title
character's father tells him. But Joe Morgenstern in the Wall Street
Journal remarks, "To make a movie special it's not enough to have brilliant
animation. You have to believe in telling good stories." Not necessarily,
suggests Elizabeth Weitzman in the New York Daily News. "This is an
unashamedly old-fashioned children's movie, and a predictable message is part
of the mission," she writes. "But that's okay; what the movie lacks in
surprises, it makes up for in whimsical fun."

Amy Winehouse - Winehouse And Ronson Revive Bond Theme Plans
Amy Winehouse and Mark Ronson have resumed work on a planned theme song for the new James Bond movie.
The Rehab star and the popular producer had begun to collaborate on a theme for Quantum of Solace, the 22nd 007 film, only for Ronson to scrap the project earlier this month.
He had claimed Winehouse, 24, may not be "ready to work on music yet" and said he doubted the song would ever be released.
But speaking at the Ivor Novello awards on Thursday, the English-American music producer and the Grammy-winning singer confirmed they were reviving their Bond theme bid.
"I've written the song," Winehouse told the Mirror newspaper. "If they like it they like it, if they don't they don't."
Ronson, 32, added: "If I talk about it Daniel Craig will whack me in the eyes."
He added: "Amy wrote the song on an acoustic guitar. It was my job to help with the arrangement and realise the sound that we were going for. So that was my role."
Londoner Winehouse has struggled with alleged drug addiction and been beset with legal troubles in recent months but her spokesman said earlier this month that these issues were not the reason for the project originally stalling.
He said: "Mark has presented a track to Amy, but she had other ideas about the direction it should take. She has always made her own decisions about her music."
